Terms and conditions

Lecremy Digital Agency · Version: 10/2025

Legal

1. Scope

1.1 The following general terms and conditions (T&Cs) apply to all contracts concluded between Lecremy Digital Agency (hereinafter “the agency”), owner: Jordan Fokui, and its clients (hereinafter “clients”) for services in the field of digital services (in particular web development, online marketing, consulting and design).

1.2 These T&Cs apply exclusively. Deviating or supplementary terms and conditions of the client only become part of the contract if the agency has expressly agreed to their validity in writing.

1.3 These T&Cs apply to entrepreneurs (Section 14 of the German Civil Code, BGB) as well as to consumers (Section 13 BGB).

2. Subject matter and conclusion of the contract

2.1 The specific subject matter of the contract, the type and scope of the service and the remuneration are set out in the respective individual contract, the agency’s offer or the written order confirmation.

2.2 The agency’s services may be structured as a service contract (best-efforts obligation, e.g. consulting, SEO support) or as a contract for work (obligation to deliver a result, e.g. development of a website). This is defined in the individual contract.

2.3 A contract is concluded when the client accepts the agency’s written offer or when the agency confirms the client’s order in writing.

3. Client's duty to cooperate

3.1 The client is obliged to cooperate fully and to provide the agency in good time with all documents, information and content (texts, images, logos, etc.) required to carry out the order.

3.2 The client warrants that the content provided is free of third-party rights and does not violate any applicable law. The client indemnifies the agency against all third-party claims arising from a breach of this warranty.

3.3 If the client fails to cooperate, or does not cooperate in good time or in full, any deadlines are extended accordingly. Any additional costs incurred by the agency as a result shall be reimbursed separately by the client.

4. Remuneration and terms of payment

4.1 Remuneration is based on the prices agreed in the individual contract.

4.2 The agency is entitled to request advance payments. For contracts for work, the agency may invoice reasonable instalments according to the progress of the work.

4.3 Invoices are payable without deduction within 15 days of the invoice date.

4.4 In the event of late payment, the statutory provisions apply. The agency reserves the right to suspend work on current orders until payment has been received.

5. Acceptance (for contracts for work)

5.1 Once the contractual service (e.g. a website) has been completed, the agency invites the client to accept it.

5.2 When requesting acceptance, the agency sets the client a reasonable deadline of 7 working days. The work is deemed accepted if the client does not refuse acceptance within this period by specifying at least one defect (Section 640(2) BGB). If the client is a consumer, this effect only occurs if the agency has informed the client of this consequence in text form together with the request for acceptance.

5.3 Minor defects do not entitle the client to refuse acceptance. The agency remedies such defects without delay.

5.4 If the client puts the work into productive use, in particular by publishing the website, this is deemed acceptance unless the client reports material defects at the same time.

6. Rights of use and retention of title

6.1 Until all claims arising from the contract have been paid in full, the agency retains ownership of and rights of use to all services provided (e.g. software, source code, designs).

6.2 After full payment of the agreed remuneration, the client receives rights of use to the contractual works that are unlimited in time, territory and content, unless otherwise agreed in the individual contract.

7. Liability

7.1 The agency is only liable for damage resulting from an intentional or grossly negligent breach of duty.

7.2 In the event of a breach of cardinal obligations (essential contractual obligations whose fulfilment is indispensable for the proper performance of the contract), the agency is also liable for simple negligence, but limited to foreseeable damage typical for the contract.

7.3 Liability for loss of data is limited to the recovery costs that would have been incurred had the client made regular backups appropriate to the risk.

8. Final provisions

8.1 Any amendments or additions to these T&Cs must be made in writing.

8.2 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

8.3 If the client is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising from this contractual relationship is the agency’s registered office in 74388 Talheim. The agency is also entitled to sue the client at the client’s general place of jurisdiction. For consumers, the statutory places of jurisdiction apply.

8.4 Should individual provisions of these T&Cs be or become invalid, this does not affect the validity of the remaining provisions. The invalid provision is replaced by the corresponding statutory provision.

9. Right of withdrawal for consumers

Consumers have a statutory right of withdrawal in accordance with the following information.
